Welcome to Wherehouse! Before you start using our services, we kindly request you to read and accept these Terms & Conditions. These terms outline the rights and obligations for both you as a customer and Wherehouse as a service provider.

These are your legal rights and obligations, so please read everything. If you can’t agree to our terms, then you can’t use our services.

Joining and using Wherehouse

In this section, we explain how to subscribe to Wherehouse and use our services. When you see a word in bold, it will have the same corresponding meaning every time it’s used within these terms.

    Definitions

    • "You" or "Your" refers to both you and any entity or organisation you represent.
    • "Wherehouse," "We," "Our," or "Us" refers to Wherehouse, the service provider you contract with and pay fees to based on the services you use.
  1. Services Offered: Wherehouse provides various services, including storage solutions, organisation services, and inventory management tools, accessible through our online platform and mobile applications.
  2. Creating an Account: By creating an account and accepting these Terms & Conditions, you become a registered user ("Subscriber") of Wherehouse. As a Subscriber, you are responsible for the payment of your subscription fees.
  3. Invited Users: As a Subscriber, you may invite other individuals or entities ("Invited Users") to use our services under your subscription. Invited Users must also agree to these Terms & Conditions to access our services.
  4. User Roles and Access: As a Subscriber inviting others to your subscription, you are responsible for granting appropriate permissions to Invited Users. Details on user roles and access levels can be found on our support platform.
  5. Partner Program: For participants in our partner program, additional partner terms apply.
  6. Right to Use Our Services: Upon acceptance of these Terms & Conditions, we grant you and your Invited Users the right to use our services according to your subscription type and access level, as long as you continue to pay the subscription fees or until your access is revoked.
  7. Subscriber Role: As a Subscriber, you have full control over the management of your subscription, including transferring, granting access, and resolving disputes with Invited Users over access to your subscription.
  8. Your Responsibilities: You agree to keep your information, including a valid email address, up to date. Furthermore, you are responsible for providing accurate and complete information and safeguarding your login credentials. We encourage you to use strong passwords and maintain the security of your account.
  9. Introduction of New or Revised Services: Wherehouse may introduce new or updated services, subject to additional terms that we will provide before you start using those services.
  10. Ownership of Content: We own all content within our services unless otherwise stated or owned by others. You agree not to copy, distribute, modify, or create derivative works of any of our content without express permission.

  11. Pricing

  12. Unless you’re in a free trial or other offer period, you’ll need to pay for a subscription based on the pricing of your selected plan. The pricing details and other terms of your subscription are explained when you select your plan.

  13. Subscription Fees:

    Access to our services requires payment of monthly or annual subscription fees based on your selected plan. Pricing details and other subscription terms are explained when you select your plan.

  14. Trial Subscriptions: We may offer free trial subscriptions. If you choose to continue using our services after the trial period, you will be billed according to your subscription plan.

  15. Taxes and Additional Services: You are responsible for paying all external fees and taxes associated with your use of our services. Additional services, such as premium features, may incur separate fees.

  16. Data Use and Privacy

  18. Use of Data: When you use our services, you grant us a license to use, copy, transmit, store, analyse, and back up all data you submit to us. Please read our Privacy Policy for detailed information on how we handle personal data.

  19. Data Breach Notifications: In the event of unauthorised access to personal data you have entered into Wherehouse, we will notify you promptly. You are responsible for assessing whether such unauthorised access must be reported to the appropriate authorities or individuals.
  20. Data Privacy and Confidentiality: We take the privacy and confidentiality of your data seriously. We implement reasonable security measures to protect your data from unauthorised access, loss, or alteration. However, we cannot guarantee absolute security, and you acknowledge that the transmission of data over the internet carries inherent risks.
  21. Third-Party Integrations: Wherehouse may offer integrations with third-party services or applications. When you choose to integrate such services, you are responsible for reviewing and accepting their terms and conditions and privacy policies. We are not liable for the actions or policies of third-party providers.

  22. Maintenance, downtime and data loss

  23. Availability: We make every effort to minimise downtime and interruptions to our services. However, there may be instances where scheduled maintenance or updates are necessary to ensure the security and functionality of our platform. These maintenance activities may require temporary downtime or limited access to our services. We will make reasonable efforts to notify you in advance of any planned maintenance that may result in significant downtime. Please subscribe to our status page should you wish to be notified of planned maintenance and downtime.

  24. Access issues: As with any online service, you may occasionally experience access issues or disruptions due to factors beyond our control. While we strive to provide uninterrupted access to our services, we cannot guarantee continuous availability or access at all times.

Data loss: While we take extensive measures to protect your data, it is important to acknowledge that data loss can occur as a result of various factors, including hardware failures, software glitches, cyber attacks, or other unforeseen events. It is your responsibility to regularly backup your data and take necessary precautions to mitigate the risk of data loss. We recommend exporting and storing copies of your data from our platform periodically.

No compensation: In the event of downtime, access issues, or data loss, Wherehouse's liability is limited to the extent provided in the "Limitation of Liability" section mentioned in these Terms & Conditions. We are not liable for any damages, losses, or expenses incurred as a result of such incidents. Your only recourse in such cases is to discontinue using our services.
  27. Problems and support: We strive to provide comprehensive support and resources to assist you in resolving any issues or questions you may have. We offer documentation, knowledge bases, FAQs, and other support materials on our platform. If you require further assistance, our customer support team is available to help you.   28. Updates and modifications: As part of our commitment to improving our services, we regularly release updates, modifications, and enhancements. In some cases, we may also discontinue certain features or functionalities. We will make reasonable efforts to notify you of any significant updates or discontinuations through appropriate channels, such as email notifications, announcements on our platform, or on our website.   29. Termination

  30. Termination by You: You have the right to terminate your subscription at any time. Upon termination, you will no longer have access to our services, and no refunds will be provided for any unused portion of your subscription.

  31. Termination by Us: Wherehouse reserves the right to terminate or suspend your access to our services, in whole or in part, if we have reasonable grounds to believe you have violated these Terms & Conditions or any applicable laws. We will notify you in such cases.
  32. Effect of Termination: Upon termination, your access to our services and the rights granted to you under these Terms & Conditions will cease immediately. Any remaining fees or outstanding amounts will become due and payable.

  33. Limitation of Liability

  34. Disclaimer of Warranties: We provide our services on an "as is" and "as available" basis, without any warranties or representations, expressed or implied. We do not guarantee the accuracy, reliability, completeness, or suitability of our services for your specific needs.

  35. Limitation of Liability: In no event shall Wherehouse or its affiliates be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services, whether based on contract, tort, negligence, strict liability, or otherwise.
  36. Indemnification: You agree to indemnify and hold Wherehouse and its affiliates harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or in connection with your use of our services or any violation of these Terms & Conditions.

  37. General Provisions

  38. Amendments to Terms: Wherehouse reserves the right to update or modify these Terms & Conditions at any time. Any changes will be effective immediately upon posting the revised version on our platform. It is your responsibility to review the Terms & Conditions periodically for updates.

  39. Governing Law and Jurisdiction: These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction where Wherehouse is registered. Any disputes arising from these Terms & Conditions shall be submitted to the exclusive jurisdiction of the competent courts in that jurisdiction.
  40. Sever-ability: If any provision of these Terms & Conditions is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please refrain from using Wherehouse.
